A highly successful software technology business with sustained YOY revenue and profit growth seek an experienced Company Secretary to support ongoing Co Sec, legal/commercial & regulatory activity as it enters an exciting development phase.

Role – Company Secretary (& legal contracts support)
Salary – up to £80000 + bonus + benefits (DOE)
Location – Fleet, north Hampshire

This Company Secretary role will take up a key and newly created position for an SME software technology and services business with long-established UK and international footprint, enjoying expansive success.

The business is embarking on a demerger process from its parent company group and will be gearing up for AIM listing, while also remaining acquisitive in nature for its further growth strategy.

The Company Secretary will work in close support to the CFO and wider business in a fast-paced and diversified role, offering expertise across all strategic business planning, ongoing Co Sec governance and also support legal and commercial contracts activity including:

Company Secretary - Board advice & support
• regulatory & governance procedure planning and management
• Plan and facilitate board & related committee meetings
Compliance
• AIM listing NOMAD liaison
• GDPR compliance and ICO liaison
• Take ownership of regulatory change and developments implementing and rolling out best proactive procedures and guidelines
Shares & Dividends
• Advising, managing, planning and administering group shares & dividend schemes
Statutory Record Keeping and Filings
• Regulatory filling for UK and international business and subsidiaries
• Support to CFO for annual reports and accounts
Market & Shareholder communication
Legal / Commercial Contracts
• lead the review and drafting of new business customer contracts (pre and post-award), key supply / subcontracts and related legal docs (NDA’s etc)
• assist the management and resolution of any legal customer dispute
• manage centralised contracts and legal documentation database/record keeping
IP
• manage the group portfolio and liaison with external trademark & patent agents
Property & insurance
• Assist in the management of property lease documentation, tracking break clauses, prompting the Board to make property related decisions in a timely manner
• Supporting the Group’s external Brokers to manage the Group insurance portfolio
M&A activity & External counsel liaison
• Business acquisition, subsidiary creation, disposal/dissolving & management.
Key experience and qualifications required:
• Qualified professional – ideally Solicitor, Barrister, Advocate or qualified Accountant & ICSA with demonstrable full Co Sec appointments
• Hands-on practical knowledge of all the routine elements of the Company Secretarial role in a listed public company
• Hands-on experience of legal contract drafting (specifically aligned to commercial sales / supply contracts orientated business activity)
• Experience of writing formal customer response letters in instances of dispute
• Highly attentive to detail with a pragmatic commercial approach
• Excellent problem-solving, analytical and evaluation, communication and stakeholder management skills
• Strong organisational and time management skills
• Enthusiastic, positive, reliable and proactive to suggest and make improvements in the Group’s legal & governance to strive continually towards best practice

N.B.
Experience in the IT / Software services industry is not a pre-requisite but preference will be given to applicants able to demonstrate knowledge of the sector and its legal contracting and regulatory specifics - software licencing, SaaS etc.
